We help clients establish corporations (regular C corporations and Subchapter S corporations) and limited liability companies, including the structure and drafting of shareholders agreements, operating agreements, buy-sell agreements and other arrangements for the management and ownership transition of closely-held enterprises.  We prepare, review and advise on commercial leases, employment agreements, deferred compensation agreements, and other contracts.  We serve as the registered agent for many businesses and in that capacity assist clients with the annual maintenance of their companies, including the preparation of annual minutes and the completion and filing of annual reports.
